These terms govern your use of waplia.com and its subdomains (the “Site”), operated by Waplia Digital Solutions (“Waplia”, “we”, “us”). By using the Site you agree to them. Software development engagements are governed by a separately signed proposal or statement of work (“SOW”); where these terms and a signed SOW conflict, the SOW prevails.
1. Using the Site
You may browse the Site and submit enquiries for legitimate business purposes. You agree not to misuse the Site: no attempting to breach its security, scraping it at scale, submitting spam or automated form entries, or using it to distribute anything unlawful. We may block access that breaches these terms.
2. Enquiries and proposals
Submitting the contact form or booking dialog does not create a contract or any obligation on either side. Scope calls are free and non-binding for both parties. A proposal we send becomes binding only when both parties sign it. You are responsible for the accuracy of the information you submit.
3. Service descriptions on the Site
Descriptions of our services, process, commitments (such as fixed quotes, demo cadence and warranty) and typical engagements are summaries of how we usually work. The precise, binding version of every commitment for your project is the one written into your signed SOW. Interface examples shown on the Site are demonstrations of our approach unless identified as a specific product.
4. Intellectual property
The Waplia name, logo and the Site’s content and design are our property and may not be copied or used commercially without written permission. Software and deliverables we produce for clients are assigned to those clients under the terms of their signed SOW; our standard position is that clients own their code, repositories and infrastructure accounts from the first commit.
5. Third-party sites
The Site links to products we have built and to external services. Those sites have their own terms and privacy policies; we are not responsible for their content or practices.
6. Privacy
How we handle personal data, including enquiry data and consent-based measurement cookies, is described in our Privacy Policy, which forms part of these terms.
7. Disclaimers
The Site and its content are provided “as is” for general information. We work to keep it accurate and available but do not guarantee it will be error-free or uninterrupted. Nothing on the Site constitutes professional advice for your specific situation; that is what the scope call and a signed engagement are for.
8. Limitation of liability
To the maximum extent permitted by law, Waplia is not liable for indirect, incidental or consequential losses arising from use of the Site or reliance on its general content. Liability arising from a service engagement is governed and capped by the signed SOW. Nothing in these terms excludes liability that cannot be excluded by law, including for fraud.
9. Indemnity
You agree to indemnify Waplia against claims arising from your misuse of the Site or breach of these terms.
10. Changes to these terms
We may update these terms from time to time; the date above reflects the latest revision. Continued use of the Site after changes take effect constitutes acceptance. Signed SOWs are unaffected by changes to these Site terms.
11. Governing law
These terms are governed by the laws of India, and disputes relating to the Site are subject to the exclusive jurisdiction of the competent courts in India. A signed SOW may specify a different governing law for the engagement it covers.
12. Severability and waiver
If any part of these terms is found unenforceable, the rest remains in effect. A failure to enforce any provision is not a waiver of it.
